Art. 97.

§ 1. Umowa spółki partnerskiej może przewidywać, że prowadzenie spraw i reprezentowanie spółki powierza się zarządowi. Przepisów art. 96 nie stosuje się.

§ 2. Do zarządu powołanego zgodnie z § 1 stosuje się odpowiednio przepisy art. 201–211 i art. 293–300.

§ 3. Członkiem zarządu jest co najmniej jeden partner. Członkiem zarządu może być także osoba trzecia.
