Art. 58015.

§ 1. Po dniu przekształcenia niedopuszczalne jest uchylenie albo stwierdzenie nieważności uchwały o przekształceniu transgranicznym. Przepisów art. 21 i art. 567 nie stosuje się.

§ 2. Po dniu przekształcenia postępowanie w przedmiocie zaskarżenia uchwały o przekształceniu transgranicznym umarza się.

§ 3. Spółka odpowiada wobec skarżącego za szkodę wyrządzoną uchwałą o przekształceniu transgranicznym sprzeczną z ustawą, umową bądź statutem spółki lub dobrymi obyczajami.
