§ 1. Osoby o szczególnych uprawnieniach w spółce dzielonej, o których mowa w art. 174 § 2, art. 304 § 2 pkt 1, art. 351–355, art. 361 oraz w art. 474 § 3, mają prawa co najmniej równoważne z tymi, które im przysługiwały dotychczas.
§ 2. Posiadacze papierów wartościowych innych niż akcje, emitowanych przez spółkę dzieloną, mają w spółce przejmującej lub spółce nowo zawiązanej prawa co najmniej równoważne z tymi, które im przysługiwały dotychczas.
§ 3. Uprawnienia, o których mowa w § 1 i § 2, mogą być zmienione lub zniesione w drodze umowy między uprawnionym a spółką przejmującą bądź spółką nowo zawiązaną.
