Art. 523.

§ 1. Zarząd łączącej się spółki kapitałowej i wspólnicy prowadzący sprawy łączącej się spółki osobowej zgłoszą do sądu rejestrowego połączenie spółek w celu wpisania do rejestru.

§ 2. Wykreślenie przejmowanej spółki osobowej z rejestru może nastąpić nie wcześniej niż z dniem zarejestrowania podwyższenia kapitału zakładowego spółki przejmującej lub wpisu do rejestru nowej spółki.

§ 3. Przepisy art. 507 § 2 i § 3 stosuje się odpowiednio.
