§ 1. W uchwale o połączeniu można uzależnić skuteczność połączenia od zatwierdzenia przez zgromadzenie wspólników lub walne zgromadzenie warunków uczestnictwa przedstawicieli pracowników.
§ 2. Uchwała o połączeniu transgranicznym nie podlega zaskarżeniu ze względu na zastrzeżenia dotyczące wyłącznie tego, że:
1) stosunek wymiany udziałów lub akcji, o którym mowa w art. 5163 § 1 pkt 2, nie został ustalony należycie lub
2) cena odkupu, o której mowa w art. 51611 § 21, nie została ustalona należycie, lub
3) informacje podane w odniesieniu do stosunku wymiany udziałów lub akcji, o którym mowa w art. 5163 § 1 pkt 2, lub ceny odkupu, o której mowa w art. 51611 § 21, nie spełniają wymogów prawnych.
§ 3. Przepis § 2 nie ogranicza prawa do dochodzenia odszkodowania na zasadach ogólnych.
