§ 1. Osoby o szczególnych uprawnieniach w spółce przejmowanej bądź w spółkach łączących się przez zawiązanie nowej spółki, o których mowa w art. 174 § 2, art. 304 § 2 pkt 1, art. 351–355, art. 361 oraz w art. 474 § 3, mają prawa co najmniej równoważne z tymi, które im przysługiwały dotychczas.
