Art. 461.

§ 1. Otwarcie likwidacji następuje z dniem uprawomocnienia się orzeczenia o rozwiązaniu spółki przez sąd, powzięcia przez walne zgromadzenie uchwały o rozwiązaniu spółki lub zaistnienia innej przyczyny jej rozwiązania.

§ 2. Likwidację prowadzi się pod firmą spółki z dodaniem oznaczenia „w likwidacji”.

§ 3. W czasie prowadzenia likwidacji spółka zachowuje osobowość prawną.
