Art. 459. Rozwiązanie spółki powodują:

1) przyczyny przewidziane w statucie;

2) uchwała walnego zgromadzenia o rozwiązaniu spółki albo o przeniesieniu siedziby spółki za granicę, chyba że przeniesienie siedziby ma nastąpić do innego państwa członkowskiego Unii Europejskiej lub państwa-strony umowy o Europejskim Obszarze Gospodarczym, a prawo tego państwa to dopuszcza;

3) ogłoszenie upadłości spółki;

4) inne przyczyny przewidziane prawem.
