Art. 4543.

§ 1. Podwyższenie kapitału zakładowego w drodze zamiany obligacji kapitałowych na akcje zarząd zgłasza do sądu rejestrowego. Do zgłoszenia należy dołączyć uchwałę w sprawie podwyższenia kapitału zakładowego w drodze zamiany obligacji kapitałowych na akcje oraz uchwałę o emisji obligacji kapitałowych.

§ 2. Uchwałę w sprawie podwyższenia kapitału zakładowego w drodze zamiany obligacji kapitałowych na akcje zarząd ogłasza najpóźniej w terminie sześciu tygodni od dnia wpisu do rejestru podwyższenia kapitału zakładowego.
