§ 5. Zawarcie z gwarantem emisji umowy, o której mowa w § 3, wymaga zgody walnego zgromadzenia. Walne zgromadzenie podejmuje uchwałę na wniosek zarządu zaopiniowany przez radę nadzorczą. Statut lub uchwała walnego zgromadzenia może przewidywać przekazanie tej kompetencji radzie nadzorczej.
