Art. 430.

§ 1. Zmiana statutu wymaga uchwały walnego zgromadzenia i wpisu do rejestru.

§ 2. Zmianę statutu zarząd zgłasza do sądu rejestrowego. Zgłoszenie zmiany statutu nie może nastąpić po upływie trzech miesięcy od dnia powzięcia uchwały przez walne zgromadzenie, z uwzględnieniem art. 431 § 4 i art. 455 § 5.

§ 3. Równocześnie z wpisem o zmianie statutu należy wpisać do rejestru zmiany danych wymienionych w art. 318 i art. 319.

§ 4. Do zarejestrowania zmian statutu stosuje się odpowiednio przepisy art. 327.

§ 5. Walne zgromadzenie może upoważnić radę nadzorczą do ustalenia jednolitego tekstu zmienionego statutu lub wprowadzenia innych zmian o charakterze redakcyjnym określonych w uchwale zgromadzenia.
