Art. 426.

§ 1. W sporze dotyczącym uchylenia lub stwierdzenia nieważności uchwały walnego zgromadzenia pozwaną spółkę reprezentuje zarząd, jeżeli na mocy uchwały walnego zgromadzenia nie został ustanowiony w tym celu pełnomocnik.

§ 2. Jeżeli zarząd nie może działać za spółkę, a brak jest uchwały walnego zgromadzenia o ustanowieniu pełnomocnika, sąd właściwy do rozstrzygnięcia powództwa wyznacza kuratora spółki.
