§ 3. Jeżeli pełnomocnikiem na walnym zgromadzeniu spółki publicznej jest członek zarządu, członek rady nadzorczej, likwidator, pracownik spółki publicznej lub członek organów lub pracownik spółki lub spółdzielni zależnej od tej spółki, pełnomocnictwo może upoważniać do reprezentacji tylko na jednym walnym zgromadzeniu. Pełnomocnik ma obowiązek ujawnić akcjonariuszowi okoliczności wskazujące na istnienie bądź możliwość wystąpienia konfliktu interesów. Udzielenie dalszego pełnomocnictwa jest wyłączone.
