Art. 39.

§ 1. Każdy wspólnik ma prawo i obowiązek prowadzenia spraw spółki.

§ 2. Każdy wspólnik może bez uprzedniej uchwały wspólników prowadzić sprawy nieprzekraczające zakresu zwykłych czynności spółki.

§ 3. Jeżeli jednak przed załatwieniem sprawy, o której mowa w § 2, choćby jeden z pozostałych wspólników sprzeciwi się jej przeprowadzeniu, wymagana jest uprzednia uchwała wspólników.
