Art. 392.

§ 1. Członkom rady nadzorczej może zostać przyznane wynagrodzenie. Wynagrodzenie określa statut lub uchwała walnego zgromadzenia.

§ 2. Wynagrodzenie członków rady w formie prawa udziału w zysku spółki za dany rok obrotowy, przeznaczonym do podziału między akcjonariuszy zgodnie z art. 347 § 1, może uchwalić tylko walne zgromadzenie.

§ 3. Członkom rady nadzorczej przysługuje zwrot kosztów związanych z udziałem w pracach rady.
