Art. 387.

§ 1. Członek zarządu, prokurent, likwidator, kierownik oddziału lub zakładu oraz zatrudniony w spółce główny księgowy, radca prawny lub adwokat nie może być jednocześnie członkiem rady nadzorczej.

§ 2. Przepis § 1 stosuje się również do innych osób, które podlegają bezpośrednio członkowi zarządu albo likwidatorowi.

§ 3. Przepis § 1 stosuje się odpowiednio do członków zarządu i likwidatorów spółki lub spółdzielni zależnej.
