Art. 384.

§ 1. Statut może rozszerzyć uprawnienia rady nadzorczej, a w szczególności przewidywać, że zarząd jest obowiązany uzyskać zgodę rady nadzorczej przed dokonaniem określonych w statucie czynności.

§ 2. Jeżeli rada nadzorcza nie wyrazi zgody na dokonanie określonej czynności, zarząd może zwrócić się do walnego zgromadzenia, aby powzięło uchwałę udzielającą zgodę na dokonanie tej czynności.
