§ 1. Nabycie akcji własnych spółki przez osobę trzecią, działającą na rachunek spółki, jest dozwolone, jeżeli spółka jest również uprawniona do nabycia tych akcji zgodnie z art. 362.
§ 2. Przy obliczaniu udziału akcji własnych w kapitale zakładowym zgodnie z art. 362 § 2 pkt 2 oraz art. 363 § 2 pkt 2 i 4 wlicza się wartość akcji posiadanych przez spółkę lub spółdzielnię zależną oraz osobę trzecią, działającą na rachunek spółki albo spółki lub spółdzielni od niej zależnej.
