§ 2. Wymogów, o których mowa w art. 456, nie stosuje się do umorzenia akcji:

1) gdy spółka umarza akcje własne nabyte nieodpłatnie w celu ich umorzenia lub

2) jeżeli wynagrodzenie akcjonariuszy akcji umorzonych ma być wypłacone wyłącznie z kwoty, która zgodnie z art. 348 § 1 może być przeznaczona do podziału, lub

3) gdy umorzenie następuje bez jakichkolwiek świadczeń na rzecz akcjonariuszy, z wyjątkiem przyznania im świadectw użytkowych.
