Art. 338.

§ 1. Umowa ograniczająca na określony czas rozporządzanie akcją lub częścią ułamkową akcji jest dopuszczalna. Ograniczenie rozporządzania nie może być ustanowione na okres dłuższy niż pięć lat od dnia zawarcia umowy.

§ 2. Dopuszczalne są umowy ustanawiające prawo pierwokupu lub inne prawo pierwszeństwa nabycia akcji lub ułamkowej części akcji. Ograniczenia rozporządzania, wynikające z takich umów, nie mogą trwać dłużej niż dziesięć lat od dnia zawarcia umowy.
