Art. 325.

§ 1. Jeżeli w terminie sześciu miesięcy od daty sporządzenia statutu spółka nie została zgłoszona do zarejestrowania lub jeżeli postanowienie sądu odmawiające zarejestrowania stało się prawomocne, zarząd powinien niezwłocznie zawiadomić o tym przez ogłoszenie osoby mające interes prawny oraz zarządzić zwrot wpłaconych sum i wkładów niepieniężnych.

§ 2. Jeżeli spółka nie posiada zarządu, zwrotu wkładów dokonują założyciele.
