Art. 31.

§ 1. Wierzyciel spółki może prowadzić egzekucję z majątku wspólnika w przypadku, gdy egzekucja z majątku spółki okaże się bezskuteczna (subsydiarna odpowiedzialność wspólnika).

§ 2. Przepis § 1 nie stanowi przeszkody do wniesienia powództwa przeciwko wspólnikowi, zanim egzekucja z majątku spółki okaże się bezskuteczna.

§ 3. Subsydiarna odpowiedzialność wspólnika nie dotyczy zobowiązań powstałych przed wpisem do rejestru.
