Art. 301.

§ 1. Zawiązać spółkę akcyjną może jedna albo więcej osób. Spółka akcyjna nie może być zawiązana wyłącznie przez jednoosobową spółkę z ograniczoną odpowiedzialnością.

§ 2. Statut spółki akcyjnej powinien być sporządzony w formie aktu notarialnego.

§ 3. Osoby podpisujące statut są założycielami spółki.

§ 4. Akcjonariusze są zobowiązani jedynie do świadczeń określonych w statucie.

§ 5. Akcjonariusze nie odpowiadają za zobowiązania spółki.
