§ 1. W umowie między spółką a dyrektorem, jak również w sporze z nim, spółkę reprezentuje pełnomocnik powołany uchwałą akcjonariuszy.

§ 2. Uchwała akcjonariuszy może określić wynagrodzenie dyrektorów.

§ 3. Umowa spółki może przewidywać, że w umowie, jak również sporze między spółką a dyrektorem wykonawczym spółkę może reprezentować także dyrektor niewykonawczy, działający na podstawie uchwały rady dyrektorów, podjętej wyłącznie przez dyrektorów niewykonawczych.

§ 4. W przypadku gdy akcjonariusz, o którym mowa w art. 300¹⁴, jest zarazem dyrektorem, przepisów § 1 i 3 nie stosuje się. Czynność prawna między tym akcjonariuszem a reprezentowaną przez niego spółką wymaga formy aktu notarialnego. O każdorazowym dokonaniu takiej czynności prawnej notariusz zawiadamia sąd rejestrowy za pośrednictwem systemu teleinformatycznego.
