Art. 30078.

§ 1. Jeżeli rada dyrektorów jest wieloosobowa, a umowa spółki nie zawiera żadnych postanowień w tym przedmiocie, do składania oświadczeń w imieniu spółki jest wymagane współdziałanie dwóch dyrektorów albo jednego dyrektora łącznie z prokurentem.

§ 2. Oświadczenia składane spółce oraz doręczenia pism spółce mogą być dokonywane wobec jednego dyrektora lub prokurenta.

§ 3. Przepisy § 1 i 2 nie wyłączają ustanowienia prokury i nie ograniczają praw prokurentów wynikających z przepisów o prokurze.
