§ 1. Z wyjątkiem art. 300⁷⁵ § 2 i 3, umowa spółki, regulamin rady dyrektorów lub uchwała rady dyrektorów mogą delegować niektóre albo wszystkie czynności prowadzenia przedsiębiorstwa spółki na jednego dyrektora albo niektórych dyrektorów (dyrektorzy wykonawczy). Dyrektorzy niebędący dyrektorami wykonawczymi (dyrektorzy niewykonawczy) sprawują stały nadzór nad prowadzeniem spraw spółki.
