Art. 30067.

§ 1. W umowie między spółką a członkiem zarządu, jak również w sporze z nim spółkę reprezentuje pełnomocnik powołany uchwałą akcjonariuszy albo rada nadzorcza.

§ 2. Uchwała akcjonariuszy może określić wynagrodzenie członków zarządu.

§ 3. W przypadku gdy akcjonariusz, o którym mowa w art. 30014, jest zarazem członkiem zarządu, przepisu § 1 nie stosuje się. Czynność prawna między tym akcjonariuszem a reprezentowaną przez niego spółką wymaga formy aktu notarialnego. O każdorazowym dokonaniu takiej czynności prawnej notariusz zawiadamia sąd rejestrowy za pośrednictwem systemu teleinformatycznego.
