§ 2. Umowa spółki może przewidywać, że w umowie między spółką a firmą audytorską wybraną do badania lub przeglądu sprawozdania finansowego spółkę może także reprezentować dyrektor niewykonawczy działający na podstawie uchwały rady dyrektorów podjętej wyłącznie przez dyrektorów niewykonawczych.
