Art. 300⁴. Do powstania spółki wymaga się:

1) zawarcia umowy spółki;

2) ustanowienia organów spółki wymaganych przez ustawę lub umowę spółki;

3) wniesienia przez akcjonariuszy wkładów na pokrycie kapitału akcyjnego co najmniej w kwocie, o której mowa w art. 300³ § 1;

4) wpisu do rejestru.
