§ 1. Uchwała o warunkowej emisji akcji powinna określać w szczególności:
1) maksymalną liczbę warunkowo emitowanych akcji;
2) cenę emisyjną tych akcji albo parytet zamiany obligacji zamiennych na akcje;
3) cel warunkowej emisji akcji;
4) termin wykonania prawa do objęcia warunkowo emitowanych akcji;
5) określenie grona osób uprawnionych do objęcia warunkowo emitowanych akcji.
§ 2. Uchwała o warunkowej emisji akcji skutkuje wyłączeniem prawa poboru tych akcji. Uchwała ta powinna spełniać warunki określone w art. 300106 § 2.
