Art. 300¹¹². Uchwała zarządu podjęta w granicach upoważnienia zawartego w umowie spółki zastępuje uchwałę walnego zgromadzenia o emisji akcji. Zarząd decyduje o wszystkich sprawach związanych z emisją akcji, chyba że przepisy niniejszego oddziału lub upoważnienie udzielone zarządowi zawierają odmienne postanowienia.
