Art. 300107.

§ 1. Emisję akcji zarząd zgłasza do rejestru.

§ 2. Do zgłoszenia emisji akcji należy dołączyć:

1) uchwałę o emisji akcji;

2) umowy objęcia akcji;

3) oświadczenie wszystkich członków zarządu, że wkłady na pokrycie nowych akcji zostały wniesione w części przewidzianej w uchwale o emisji akcji lub umowach objęcia akcji;

4) oświadczenie wszystkich członków zarządu o wysokości kapitału akcyjnego.

§ 3. Akcje nowej emisji powstają z chwilą wpisu do rejestru.
