§ 1. Jeżeli umowa spółki lub uchwała akcjonariuszy nie stanowią inaczej, wszyscy dotychczasowi akcjonariusze mają prawo pierwszeństwa objęcia nowych akcji proporcjonalnie do liczby swoich dotychczasowych akcji (prawo poboru). Listę akcjonariuszy, którym przysługuje prawo poboru, ustala się na dzień podjęcia uchwały o emisji akcji.
