§ 1. Zmiana umowy spółki wymaga uchwały walnego zgromadzenia i wpisu do rejestru.
§ 2. Zmianę umowy spółki zarząd zgłasza do rejestru. Zgłoszenie zmiany umowy spółki nie może nastąpić po upływie sześciu miesięcy od dnia podjęcia uchwały walnego zgromadzenia.
§ 3. Przepisy art. 164 § 3, art. 165, art. 169 i art. 172 stosuje się odpowiednio do zarejestrowania zmiany umowy spółki i skutków stwierdzenia braków wynikłych z niedopełnienia przepisów prawa po zarejestrowaniu zmian.
