Art. 296. W przypadku wytoczenia powództwa przez wspólnika na podstawie art. 295 oraz w razie upadłości spółki, osoby obowiązane do naprawienia szkody nie mogą powoływać się na uchwałę wspólników udzielającą im absolutorium ani na dokonane przez spółkę zrzeczenie się roszczeń o odszkodowanie.
