Art. 239.

§ 1. W sprawach nieobjętych porządkiem obrad nie można powziąć uchwały, chyba że cały kapitał zakładowy jest reprezentowany na zgromadzeniu, a nikt z obecnych nie zgłosił sprzeciwu dotyczącego powzięcia uchwały.

§ 2. Wniosek o zwołanie nadzwyczajnego zgromadzenia wspólników oraz wnioski o charakterze porządkowym mogą być uchwalone, mimo że nie były umieszczone w porządku obrad.
