Art. 220. Umowa spółki może rozszerzyć uprawnienia rady nadzorczej, a w szczególności stanowić, że zarząd jest obowiązany uzyskać zgodę rady nadzorczej przed dokonaniem oznaczonych w umowie spółki czynności, oraz przekazać radzie nadzorczej prawo zawieszania w czynnościach, z ważnych powodów, poszczególnych lub wszystkich członków zarządu.
