Art. 148.

§ 1. Rozwiązanie spółki powodują:

1) przyczyny przewidziane w statucie;

2) uchwała walnego zgromadzenia o rozwiązaniu spółki;

3) ogłoszenie upadłości spółki;

4) śmierć, ogłoszenie upadłości lub wystąpienie jedynego komplementariusza, chyba że statut stanowi inaczej;

5) inne przyczyny przewidziane prawem.

§ 2. Ogłoszenie upadłości akcjonariusza nie stanowi przyczyny rozwiązania spółki.
