Art. 147.

§ 1. Komplementariusz oraz akcjonariusz uczestniczą w zysku spółki proporcjonalnie do ich wkładów wniesionych do spółki, chyba że statut stanowi inaczej.

§ 2. Jeżeli statut nie stanowi inaczej, komplementariuszowi niepozbawionemu prawa prowadzenia spraw spółki, który pobiera wynagrodzenie z tytułu podejmowania czynności wymienionych w art. 137 § 1 i art. 141, nie przysługuje udział w zysku spółki w części odpowiadającej wkładowi jego pracy do spółki.
