Art. 145.

§ 1. Walne zgromadzenie może być zwyczajne albo nadzwyczajne.

§ 2. Prawo uczestniczenia w walnym zgromadzeniu ma akcjonariusz oraz komplementariusz także w przypadku, gdy nie jest akcjonariuszem spółki komandytowo-akcyjnej.

§ 3. Każda akcja objęta lub nabyta przez osobę, która nie jest komplementariuszem, daje prawo do jednego głosu, chyba że statut stanowi inaczej. Nie można całkowicie pozbawić akcjonariusza prawa głosu.

§ 4. Każda akcja objęta lub nabyta przez komplementariusza daje prawo do jednego głosu.
