Art. 140.

§ 1. Każdy komplementariusz ma prawo i obowiązek prowadzenia spraw spółki.

§ 2. Statut spółki może przewidywać, że prowadzenie spraw spółki powierza się jednemu albo kilku komplementariuszom.

§ 3. Zmiana statutu, pozbawiająca prawa prowadzenia spraw spółki lub przyznająca takie prawo komplementariuszowi dotychczas go pozbawionemu, wymaga zgody wszystkich pozostałych komplementariuszy.
