Art. 125. Spółką komandytowo-akcyjną jest spółka osobowa mająca na celu prowadzenie przedsiębiorstwa pod własną firmą, w której wobec wierzycieli za zobowiązania spółki co najmniej jeden wspólnik odpowiada bez ograniczenia (komplementariusz), a co najmniej jeden wspólnik jest akcjonariuszem.
