§ 1. Komandytariusz nie ma prawa ani obowiązku prowadzenia spraw spółki, chyba że umowa spółki stanowi inaczej.
§ 2. W sprawach przekraczających zakres zwykłych czynności spółki wymagana jest zgoda komandytariusza, chyba że umowa spółki stanowi inaczej.
§ 3. Ograniczeń, o których mowa w art. 56 i art. 57, nie stosuje się do komandytariusza nieposiadającego prawa do prowadzenia spraw spółki lub jej reprezentowania, chyba że umowa spółki stanowi inaczej.
