Art. 105. Umowa spółki komandytowej powinna zawierać:

1) firmę i siedzibę spółki;

2) przedmiot działalności spółki;

3) czas trwania spółki, jeżeli jest oznaczony;

4) oznaczenie wkładów wnoszonych przez każdego wspólnika i ich wartość;

5) oznaczony kwotowo zakres odpowiedzialności każdego komandytariusza wobec wierzycieli (sumę komandytową).
